Terms of Service

1. Definitions
1.1 "Service" means the hosted SaaS platform accessible at onchaininvoice.com, its subdomains, APIs, interfaces, and related documentation that enables creation of invoices and detection/recording of on-chain payments.
1.2 "User" means a person or entity that registers for or uses the Service.
1.3 "Invoice Data" means the invoice details (fiat amount, line items, due dates) and on-chain payment records.
1.4 "Receipt" means the cryptographically signed document generated by the Service reflecting settlement status and corresponding on-chain data.
1.5 "On-Chain Network" means a distributed ledger protocol (for example, Ethereum or Solana) and associated token standards.
2. Acceptance of Terms
By accessing or using the Service, User agrees to these Terms. The Service is offered only to Users who can enter binding contracts under applicable law.
3. Provision of Service
3.1 Limited License. We grant User a non-exclusive, non-transferable, revocable license to use the Service solely to create invoices, monitor on-chain payments, and generate Receipts.
3.2 Service Scope. The Service does not custody, exchange, or convert cryptocurrencies; Users are solely responsible for managing and transferring funds on the blockchain.
4. User Obligations
4.1 Accuracy. User must provide accurate business, invoicing, and contact information.
4.2 Compliance. User will comply with all applicable laws, including tax reporting, anti-money laundering (AML), and sanctions regimes when issuing invoices and accepting payments.
5. Payments and Fees
5.1 Subscriptions. Access to certain features requires subscription fees as published on the pricing page.
5.2 Changes. Fees can be updated with 30 days' notice; continued use after change constitutes acceptance.
6. Intellectual Property
All intellectual property rights in the Service remain with OnchainInvoice or its licensors. User retains ownership of Invoice Data; User grants OnchainInvoice a license to host and process it for Service delivery.
7. Disclaimers
7.1 "As Is." The Service is provided without warranty of uninterrupted service or error-free operation.
7.2 No Financial Advice. Nothing in the Service constitutes financial, tax, or legal advice; Users should consult qualified professionals.
8. Limitation of Liability
To the fullest extent permitted by law, OnchainInvoice's aggregate liability for any claim related to the Service will not exceed the total fees paid by the User in the preceding 12 months.
9. Indemnification
User agrees to indemnify and hold harmless OnchainInvoice and its affiliates from all claims arising out of User's use of the Service, non-compliance with law, or violation of these Terms.
10. Termination
We may terminate or suspend User access for violation of these Terms, suspected fraud, or legal obligation. Upon termination, User loses access to the Service and associated invoices/Receipts.
11. Governing Law
These Terms are governed by the laws of [insert jurisdiction, for example, State of Delaware, USA] without regard to conflict of law principles.
12. Changes to Terms
We may revise these Terms; material changes will be communicated via email. Continued use constitutes acceptance.
